1. Parties and Scope of Terms

1.1 These Terms of Service apply to the Yelppy software service ("Service") provided and maintained by Yelppy Finland Oy (Business ID: 3508660-9).

1.2 The Customer may be a company, sole proprietor, or other legal entity using the Service.

1.3 Use of the Service requires registration and an active paid subscription. By registering, the Customer confirms they have read and agree to these terms.

2. Definitions

Customer: The entity subscribing to the Service (company, sole proprietor, or other legal entity).

Service: The software and related features provided by Yelppy Finland Oy.

System Administrator: A person managing the Customer’s credentials and users within the Service.

User: A person authorized to use the Service on behalf of the Customer.

3. Service Content and License

3.1 Yelppy provides software for invoicing, customer management, documentation, and business operations, as described on its website and within customer accounts.

3.2 The Customer receives a non-exclusive, non-transferable right to use the Service during the subscription period.

3.3 The Service may only be used for lawful purposes. All rights to the software and related materials remain with Yelppy Finland Oy.

4. Registration and Credentials

4.1 Upon registration, the Customer must provide accurate information and define a password.

4.2 Credentials are personal. The Customer is responsible for all activity conducted using their credentials.

4.3 If credentials are compromised, the Customer must immediately notify Yelppy.

5. Customer Responsibilities

5.1 The Customer agrees to comply with applicable laws, these Terms, and good practices.

5.2 The Customer is responsible for the accuracy and legality of the data they enter and for ensuring it does not infringe third-party rights.

5.3 The Customer is responsible for their own devices, connections, and compatibility with third-party software (e.g., browsers, antivirus).

5.4 The Customer is liable for any damage caused by violations of these terms, laws, or good practices.

6. Provider Responsibilities and Rights

6.1 The Service is intended to be available 24/7. However, downtime may occur due to maintenance, updates, or technical issues.

6.2 Yelppy is not liable for direct or indirect damages resulting from service interruptions or malfunctions.

6.3 Yelppy may remove content or users violating the terms, laws, or good practices.

6.4 Yelppy may modify the Service or its features. If the changes significantly impact the Customer, they may cancel the Service within 30 days of the change.

7. Pricing, Billing, and Payment

7.1 The Service is paid. Pricing is provided on Yelppy’s website and customer account.

7.2 Billing is conducted monthly in advance based on the selected subscription model. Any usage-based charges are billed retrospectively.

7.3 The payment term is 14 days net. A reminder fee may be charged for late payments.

7.4 Fees are non-refundable, even if the Customer discontinues use before the end of the billing cycle.

7.5 Yelppy may adjust pricing by notifying the Customer at least 30 days before changes take effect. The Customer may cancel the Service before new pricing applies.

8. Data Protection and Privacy

8.1 Customer data is processed in accordance with the EU General Data Protection Regulation (GDPR).

8.2 Data is not shared with third parties unless legally required.

8.3 All collected personal data is protected through appropriate technical and administrative safeguards.

9. Support and Limitations

9.1 Yelppy provides support for questions related to the functionality of the software through customer service.

9.2 Support does not include accounting or legal advice, nor correction of issues caused by user error.

10. Duration and Termination

10.1 The Agreement is valid until further notice and automatically renews monthly unless terminated by the Customer at least 30 days before renewal.

10.2 The Customer may terminate the Service at any time in writing or through the Service.

10.3 Inactive accounts may be deleted after 24 months of inactivity. Notice will be sent via email in advance.

11. Complaints and Feedback

11.1 Complaints about the Service or billing must be submitted via email to asiakaspalvelu@yelppy.com within 14 days of the issue.

11.2 Late complaints will not be considered unless otherwise required by law.

11.3 Service-related payments are non-refundable unless otherwise agreed.

12. General

If any provision of these Terms is found to be invalid, it will not affect the validity of the remaining provisions. The Terms are published on Yelppy’s website and may be updated. Continued use of the Service after changes implies acceptance of the updated Terms. Material changes will be communicated to the Customer via email or within the Service at least 30 days before taking effect.
